cosmovexis provides analytics dashboard services specifically designed for construction contractors to track and analyse bid performance, project metrics, and business intelligence. Our services include:

• Custom analytics dashboard development and configuration

• Performance tracking and reporting capabilities
• Training and ongoing technical support
• Consultation and optimisation services

User Obligations

When using our services, you agree to:

• Provide accurate and complete information when registering for our services
• Use our services only for lawful business purposes related to construction analytics
• Maintain the confidentiality of your account credentials and access information
• Notify us immediately of any unauthorised use of your account
• Comply with all applicable laws and regulations in your use of our services
• Respect the intellectual property rights of cosmovexis and third parties
• Not attempt to reverse engineer, modify, or interfere with our software or systems
• Not use our services to transmit harmful, offensive, or illegal content

Payment Terms

Payment for our services is due according to the terms specified in your service agreement. Unless otherwise agreed in writing:

• Monthly subscription fees are due in advance
• Setup fees are due upon commencement of implementation
• Late payments may result in service suspension after 30 days
• All fees are quoted in Euros and exclude applicable VAT
• Refunds are provided only as specified in your service agreement

Data and Privacy

Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal and business data. You retain ownership of your business data, and we will process it only as necessary to provide our services and as described in our Privacy Policy.

You are responsible for ensuring you have the right to provide us with any data you submit through our services and that such data does not violate any third-party rights or applicable laws.

Intellectual Property

The cosmovexis website, software, analytics dashboards, and related materials are protected by copyright, trademark, and other intellectual property laws. cosmovexis retains all rights, title, and interest in:

• Our proprietary software and analytics platforms
• Dashboard templates, designs, and methodologies
• Website content, including text, graphics, and images
• Trademarks, service marks, and logos
• Documentation, training materials, and support resources

You are granted a limited, non-exclusive licence to use our services during the term of your agreement. This licence does not permit you to copy, modify, distribute, or create derivative works based on our intellectual property.

Service Availability

We strive to provide reliable and continuous access to our services, but we cannot guarantee uninterrupted availability. Our services may be temporarily unavailable due to:

• Scheduled maintenance and system updates
• Technical difficulties or infrastructure issues
• Third-party service provider outages
• Force majeure events beyond our control

We will provide reasonable notice of planned maintenance when possible and work to minimise service disruptions.

Limitation of Liability

To the maximum extent permitted by law, cosmovexis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services.

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for our services in the 12 months preceding the claim. This limitation applies regardless of the legal theory upon which the claim is based.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless cosmovexis, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of our services in violation of these terms
• Your violation of any applicable laws or regulations
• Your infringement of third-party intellectual property rights
• Any data or content you provide through our services

Termination

Either party may terminate the service agreement with written notice as specified in your service contract. We may immediately suspend or terminate your access to our services if:

• You breach these terms of service
• Your account becomes delinquent on payment
• You engage in fraudulent or illegal activities
• We reasonably believe termination is necessary to protect our systems or other users

Upon termination, your right to access our services will cease immediately. We will provide you with access to export your data for a reasonable period following termination, subject to your account being in good standing.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Ireland. Any disputes arising from or related to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Ireland.

If any provision of these terms is found to be unenforceable, the remaining provisions will continue to be valid and enforceable.
